Contract Law

Both in and out of the workplace, contracts impact a lot in our day-to-day lives. Those of us who own or run a business are blatantly aware of this fact, while others — like employees, tenants, and everyday individuals — rarely give the topic much thought. That is, until they find themselves involved in a contract dispute.

Fortunately, there’s an entire field of law devoted exclusively to the creation, review, and resolution of contracts and contract-related disputes. My name is Maxwell Livingston, and I perform these and similar services on behalf of businesses, corporations, employers, employees, landlords, tenants, and everyday individuals. In other words, regardless of who you are, what kind of contract concern you may have, or where you are in southeast Wisconsin, I’m prepared to offer the legal guidance you need.

Contract Drafting & Review

Before you sign a contract or ask someone else to sign a contract of your own creation, it’s important that you allow an experienced set of eyes to review the document. A seasoned contract attorney will take the time to get familiar with your goals and ensure that each contract you draft or sign works in favor of those goals. In my practice, I have drafted and reviewed a wide variety of contracts and legal documents, including the following:

  • Shareholder agreements
  • Operating agreements
  • Subscription agreements
  • Shareholder meeting minutes
  • Employment handbooks
  • NDAs
  • Confidentiality agreements
  • Non-compete agreements
  • Independent contractor agreements
  • Agreements to hire
  • Separation agreements
  • 990s
  • Annual status documents
  • Liability waivers
  • Stipulations

Whether you’re an employer looking out for your company, a worker looking out for yourself, or an individual with concerns about a contract, I encourage you to give me a call before agreeing to any kind of legally binding document.

Resolving Contract Disputes

In a perfect world, every contract you signed would be catered to your specific needs and perfectly upheld by both parties involved. As we all know, though, this isn’t a perfect world. Contract terms are often unclear or poorly written, unexpected events cause deadlines to get missed, funding falls through, and — ultimately — deals get broken.

When this happens, it’s important that your attorney can step in and help you work with the other party to negotiate a fitting resolution. Depending on the specifics of your situation, this may mean:

  • Renegotiating the terms of your agreement
  • Holding the other side accountable for contract terms they’ve failed to uphold
  • Collecting payment that’s due (or overdue)
  • Requesting a reasonable extension on a deadline or project
  • Seeking additional compensation to make up for any inconveniences or delays

These are just a few examples of resolutions that might make sense for your contract dispute. As a Wisconsin-Certified Mediator, I am adept at finding and implementing other productive measures to help you and the other party arrive at a beneficial outcome.

Contract Services for Non-Profits & Other Industries

While the corporate world is home to the majority of Wisconsin’s contracts, there are quite a few other industries who can benefit from having a good contract attorney in their corner. For my part, I’m always happy to offer up my legal services to:

  • Non-profit companies
  • Landlords and tenants
  • Small business owners
  • Individuals
